Hani Zahran • September 21, 2025

TLF Hani Zahran & Co is pleased to share that Mr. Hani Zahran was featured in Al Mal Newspaper, offering a legal perspective on the ongoing Juhayna–Baladna case, a matter raising key questions on shareholder rights and corporate governance in Egypt. Mr. Hani clarified that Egyptian Companies Law No. 159 of 1981 does not impose a fixed percentage for board representation, noting that the “10% rule” often cited is a market convention, not a statutory obligation. He further explained that board representation must reflect all shareholders’ interests and any exclusion without legal basis could be subject to challenge. Commenting on the Financial Regulatory Authority’s decision, Mr. Hani affirmed it was legally consistent and governance-driven, protecting shareholder rights and ensuring transparency. He emphasized that the General Assembly remains the ultimate authority and that adherence to sound governance strengthens investor confidence in Egypt’s market.
